Welcome to MindFuel’s Unified Login (Account) management and digital ecosystem. This platform is owned and operated by The MindFuel Foundation, operating as MindFuel (“MindFuel“,”we“,”us” or “our“). These Terms and Conditions (“Terms“) apply to your use of our website, the Codingville website, the Science Happens Here website, the CodeGoat website, and the Wonderville websites (both English and French), and the STEMStore, (each, a “Site“), as well as the Connect2Innovate platform (the “Platform“).

PLEASE READ THESE TERMS CAREFULLY.

BY USING ANY SITE OR PLATFORM, YOU ACCEPT AND AGREE TO BE BOUND AND COMPLY WITH THESE TERMS AND CONDITIONS AND OUR PRIVACY POLICY, FOUND AT https://mindfuel.ca/privacy-policy INCORPORATED HEREIN BY REFERENCE. IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS OR THE PRIVACY POLICY, YOU MUST NOT ACCESS OR USE ANY SITE OR PLATFORM.

If you are a parent or guardian of a minor, you agree: (i) to your child’s use of any Site or Platform; and (ii) that these Terms apply to you. Your child cannot use any Site or Platform without your permission or supervision.

  1. ABOUT US

MindFuel is a registered charity committed to supporting students and teachers with STEM innovation, design thinking, entrepreneurialism, computational thinking, nanotechnology, robotics, synthetic biology, energy, and more. 

We created the Sites and Platform to give students a place to work together on projects, connect with each other, and get guidance and feedback from teachers, mentors, and STEM experts. As a student, the Sites and Platform will give you access to use MindFuel’s project resources and a place where you can get information and register for our free-to-enter MindFuel and Tech Futures Challenge programs, workshops and events. Through your use of the Sites and Platform, we hope that you will develop your innovation mindset and increase your STEM skills and knowledge.

The Sites and Platform are also open to teachers, mentors, STEM subject matter experts and academia. Through the Sites and Platform, you will have access to STEM resources and materials and have opportunities to support youth growth and give insights regarding project development, innovation and STEM skills.

  1. CHANGES TO THESE TERMS 

We reserve the right in our sole discretion to revise and update these terms and conditions from time to time. Any and all such modifications are effective immediately upon posting and apply to all access to and continued use of the Sites or Platform. You agree to periodically review the terms and conditions in order to be aware of any such modifications and your continued use shall be your acceptance of these.

The information and material on the Sites and Platform may be changed, withdrawn, or terminated at any time in our sole discretion without notice. We will not be liable if, for any reason, all or any part of the Sites or Platform are restricted to users or unavailable at any time or for any period.

  1. CANADIAN-RESIDENTS ONLY 

Our Sites and Platform are meant to be used by Canadian residents only. If you are using a Site or Platform outside of Canada, you are doing so at your own risk. You are responsible for meeting all applicable laws when using our Sites and Platform. 

  1. PRIVACY

We take your privacy seriously. We have a Privacy Policy that explains our privacy policies and practices. This includes information about how we collect, use or disclose your personal information. Please see our Privacy Policy located https://mindfuel.ca/privacy-policy.

  1. USER ACCOUNTS 

The security of your personal information is very important to us. We use physical, electronic, and administrative measures designed to secure your personal information from accidental loss and from unauthorized access, use, alteration, and disclosure.

The safety and security of your information also depends on you. Users are responsible for obtaining their own access to the Sites and/or Platform. Users are required to ensure that all persons who access the Sites or Platform through a user’s internet connection are aware of these Terms and comply with them. The Sites and Platform, including content or areas, may require user registration. It is a condition of your use of the Sites or Platform that all the information you provide is correct, current, and complete.

Unfortunately, the transmission of information via the Internet is not completely secure. Although we do our best to protect your personal information, we cannot guarantee the security of your personal information transmitted to our Sites or Platform. Any transmission of personal information is at your own risk. We are not responsible for circumvention of any privacy settings or security measures contained on the Sites or Platform.

Your provision of registration information and any submissions you make to the Sites or Platform through any functionality such as applications, chat rooms, e-mail, message boards, personal, or interest group web pages, profiles, forums, bulletin boards, or any other functionality by which you may upload or post your projects (collectively, “Interactive Functions“) constitutes your consent to all actions we take with respect to such information consistent with our Privacy Policy, found at https://mindfuel.ca/privacy-policy.

Any username, password, or any other piece of information chosen by you, or provided to you as part of our security procedures, must be treated as confidential, and you must not disclose it to any other person or entity. You must exercise caution when accessing your account from a public or shared computer so that others are not able to view or record your password or other personal information. You understand and agree that should you be provided an account, your account is personal to you and you agree not to provide any other person with access to the Sites or Platform or portions of it using your username, password, or other security information. You agree to notify us immediately of any unauthorized access to or use of your username or password or any other breach of security. You also agree to ensure that you logout from your account at the end of each session. You are responsible for any password misuse or any unauthorized access.

We reserve the right at any time and from time to time, to disable or terminate your account, any username, password, or other identifier, whether chosen by you or provided by us, in our sole discretion for any or no reason, including any violation of any provision of these Terms.

You are prohibited from attempting to circumvent and from violating the security of the Sites or Platform, including, without limitation: (a) accessing content and data that is not intended for you; (b) attempting to breach or breaching the security and/or authentication measures which are not authorized; (c) restricting, disrupting, or disabling service to users, hosts, servers, or networks; (d) illicitly reproducing TCP/IP packet header; (e) disrupting network services and otherwise disrupting MindFuel’s ability to monitor the Sites or Platform; (f) using any robot, spider, or other automatic device, process, or means to access the Sites or Platform for any purpose, including monitoring or copying any of the material on the Sites or Platform; (g) introducing any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful; (h) attacking the Sites or Platform via a denial-of-service attack, distributed denial-of-service attack, flooding, mailbombing, or crashing; and (i) otherwise attempting to interfere with the proper working of the Sites or Platform.

  1. Intellectual Property Rights and Ownership

You understand and agree that the Sites and Platform and their entire contents, features, and functionality, including, but not limited to, all information, software, code, data text, displays, graphics, photographs, images, video, audio, music, broadcast, design, presentation, website layout, selection, and arrangement, are owned by MindFuel, its licensors, or other providers of such material and are protected in all forms by intellectual property laws including, without limitation, copyright, trademark, patent, trade secret, and any other proprietary rights.

The MindFuel name, logo, and all related names, logos, product and service names, designs, images, and slogans are trademarks of MindFuel or its affiliates or licensors. You must not use such marks without the prior written permission of MindFuel. Other names, logos, product and service names, designs, images, and slogans mentioned, or which appear on the Sites or Platform are the trademarks of their respective owners. Use of any such property, except as expressly authorized, shall constitute an infringement or violation of the rights of the property owner and may be a violation of federal or other laws and could subject the infringer to legal action.

You may only use the Sites or Platform for your personal and non-commercial use. You shall not directly or indirectly reproduce, compile for an internal database, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Sites or Platform, in any form or medium whatsoever except your computer and browser may temporarily store or cache copies of materials being accessed and viewed.

Users are not permitted to modify copies of any materials from the Sites or Platform, nor delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials. You must not access or use for any commercial purposes any part of the Sites or Platform or any services or materials available.

If you print off, copy, or download any part of the Sites or Platform in breach of these Terms, your right to use the Sites and Platform will cease immediately and you must, at our option, return or destroy any copies of the materials you have made. You have no right, title, or interest in or to the Sites or Platform or to any content, and all rights not expressly granted are reserved by MindFuel. Any use of the Sites or Platform not expressly permitted by these Terms is a breach of these Terms and may infringe or violate copyright, trademark, and other intellectual property or other proprietary laws.

You are permitted to use the Sites and Platform as follows: 

If you are a student 

    • to work together with other students on projects and share projects
    • communicate and connect with other students through direct messaging, forums or group chats
    • to connect and get guidance from teachers, mentors and others through direct messaging, forums or group chats
    • to access and use resources developed or recommended by us
    • to get information and register for MindFuel challenges, programs, workshops and events
    • to get access to offering from our partners and/or supporters, i.e: scholarships, internships or challenges.

If you are a teacher

    • to get STEM resources and materials
    • to communicate and collaborate with other teachers
    • to communicate with and support your students
    • to get information and register for MindFuel challenges, programs, workshops and events

If you are a team advisor, mentor, subject matter expert or academia 

    • to communicate with and support students with their projects, STEM skills and related activities.
    • to share STEM knowledge, insights and tips.
    • to collaborate with other mentors, subject matter experts or academia to build a STEM support system for students and employment opportunities.
    • to get information and register for MindFuel challenges, programs, workshops and events
  1. ACCEPTABLE USE 

You are responsible for the communications that you make through the Sites or Platform. You must: 

    • be responsible for your conduct and any activity, information, messaging, video clips or content that you add or upload to the Sites or Platform that occurs under your account
    • be responsible for keeping your account login password secure
    • not create or send unwanted direct messages or comments to other users
    • not impersonate or attempt to impersonate MindFuel, a MindFuel representative, another user, or any other person or entity
    • not send, post or communicate anything that is abusive, exploitive, inappropriate, harassing, bullying, obscene, profane, defamatory, sexually explicit, threatening, spamming, misleading, hateful, racist, or discriminatory based on race, sex, religion, nationality, disability, sexual orientation or other legally prohibited ground or be otherwise objectionable, such determination to be made in MindFuel’s sole discretion;
    • not send, post or communicate any false, inaccurate, or misleading information;
    • use any artificial intelligence functionality of any Site or Platform for any use other than as expressly permitted in these terms; and
    • follow all community moderation guidelines and applicable law

We may, without notice, suspend your access to a Site or Platform if we believe that you, or someone else using your account, is doing any of the above activities (or any activity that we believe is inconsistent with these Terms). We may, but do not have an obligation to, moderate your use of the Sites or Platform, such as your direct messages, forum posts and other communications.

  1. MINDFUEL RESOURCES AND YOUR MATERIALS 

We might make resources, software, applications, or other materials available to you (“MindFuel Resources”). We own the MindFuel Resources. You can use the MindFuel Resources only for the purposes set out in these Terms. You are not allowed to sell, share or distribute the MindFuel Resources to others.

When you upload or create materials, including your project work or resources, through the Platform (“your materials”), you give us permission and a license to use your project work or materials This includes using your materials for our internal business needs and MindFuel marketing and reporting.

Our license to your materials will not expire and you will not be paid for our use of your materials. 

Your materials must meet applicable laws. This means that you represent that you own all legal rights to your materials. You also represent that you are not violating any laws or the legal rights of others by uploading to or creating your materials through the Platform. Although we will not be responsible for your materials, we may edit or remove your materials from the Platform at any time for any reason (for example, if we determine that your materials violate our Acceptable Use requirements, community moderation guidelines or applicable law).

We may allow you to incorporate or integrate MindFuel Resources into your materials to create new or derivative works. These works will be considered your materials, unless we reasonably determine that such works are substantially unchanged from our MindFuel Resources. In that case, those works will be considered MindFuel Resources and we will own them.

Subject to our requirements under applicable law or any agreement we have with you, we may delete your materials from our Sites and/or Platform. You are responsible for ensuring that you back up your materials. We are not responsible for any loss of your materials.

  1. NO WARRANTY 

YOU UNDERSTAND AND AGREE THAT YOUR USE OF THE SITES AND/OR PLATFORM, ITS CONTENT, AND ANY SERVICES OR ITEMS FOUND OR ATTAINED THROUGH THE SITES AND/OR PLATFORM IS AT YOUR OWN RISK. THE SITES AND/OR PLATFORM, CONTENT, AND ANY SERVICES OR ITEMS FOUND OR ATTAINED THROUGH THE SITES AND/OR PLATFORM ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

NEITHER MINDFUEL NOR ITS PARENT, SUBSIDIARIES, AFFILIATES, OR THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SERVICE PROVIDERS, CONTRACTORS, LICENSORS, LICENSEES, SUPPLIERS, OR SUCCESSORS MAKE ANY WARRANTY, REPRESENTATION, OR ENDORSEMENT WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, SUITABILITY, ACCURACY, CURRENCY, OR AVAILABILITY OF THE SITES AND/OR PLATFORM OR ITS CONTENTS. WITHOUT LIMITING THE FOREGOING, NEITHER MINDFUEL NOR ITS PARENT, SUBSIDIARIES, AFFILIATES OR THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SERVICE PROVIDERS, CONTRACTORS, LICENSORS, LICENSEES, SUPPLIERS, OR SUCCESSORS REPRESENT OR WARRANT THAT THE SITES AND/OR PLATFORM, ITS CONTENT, OR ANY SERVICES OR ITEMS FOUND OR ATTAINED THROUGH THE SITES AND/OR PLATFORM WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT OUR SITES AND/OR PLATFORM OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

WE CANNOT AND DO NOT GUARANTEE OR WARRANT THAT FILES OR DATA AVAILABLE FOR DOWNLOADING FROM THE INTERNET OR THE SITES AND/OR PLATFORM WILL BE FREE OF VIRUSES OR OTHER DESTRUCTIVE CODE. YOU ARE SOLELY AND ENTIRELY RESPONSIBLE FOR YOUR USE OF THE SITES AND/OR PLATFORM AND YOUR COMPUTER, INTERNET, AND DATA SECURITY. TO THE FULLEST EXTENT PROVIDED BY LAW, WE WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY DENIAL-OF-SERVICE ATTACK, DISTRIBUTED DENIAL-OF-SERVICE ATTACK, OVERLOADING, FLOODING, MAILBOMBING, OR CRASHING, VIRUSES, TROJAN HORSES, WORMS, LOGIC BOMBS, OR OTHER TECHNOLOGICALLY HARMFUL MATERIAL THAT MAY INFECT YOUR COMPUTER EQUIPMENT, COMPUTER PROGRAMS, DATA, OR OTHER PROPRIETARY MATERIAL DUE TO YOUR USE OF THE SITES AND/OR PLATFORM OR ANY SERVICES OR ITEMS FOUND OR ATTAINED THROUGH THE SITES AND/OR PLATFORM OR TO YOUR DOWNLOADING OF ANY MATERIAL POSTED ON IT, OR ON ANY WEBSITE LINKED TO IT. 

  1. LIMITATION OF LIABILITY 

YOU ASSUME ALL RESPONSIBILITY AND RISK FOR USE OF EACH SITE AND THE PLATFORM. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, PUNITIVE, EXEMPLARY, CONSEQUENTIAL OR OTHER SIMILAR DAMAGES. WE WILL NOT BE LIABLE FOR ANY DAMAGES FOR LOSS OF PROFITS, INTERRUPTION, LOSS OF BUSINESS INFORMATION OR ANY OTHER SIMILAR LOSS ARISING OUT OF THESE TERMS OR YOUR USE OF
THE SITES AND/OR PLATFORM. IN EVERY EVENT, OUR TOTAL MAXIMUM AGGREGATE LIABILITY ARISING FROM THESE TERMS OR YOUR USE OF THE SITES AND/OR PLATFORM WILL BE LIMITED TO $50 CANADIAN DOLLARS. THE SITES AND/OR PLATFORM ARE PROVIDED TO YOU FOR FREE. THE CONSIDERATION BEING MADE UNDER THESE TERMS DOES NOT INCLUDE ANY CONSIDERATION FOR US TO ASSUME ANY RISKS BEYOND THOSE WE ASSUME UNDER THESE TERMS. IF ANY SUCH RISKS WERE TO BE ASSUMED BY US, WE WOULD NOT HAVE ENTERED INTO THESE TERMS WITHOUT CHARGING ADDITIONAL FEES. 

  1. INDEMNITY 

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless MindFuel, its parent, subsidiaries, affiliates, and their respective directors, officers, employees, agents, service providers, contractors, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to your breach of these Terms or your use of the Sites and/or Platform, including, but not limited to, your User Submissions, third-party sites, any use of the content on the Sites and/or Platform, services, and products other than as expressly authorized in these Terms.

  1. FEEDBACK 

You can give us comments, suggestions and feedback (collectively, “your feedback“) through email or through the Sites or Platform. You agree that we have no obligation regarding your feedback. Your feedback is non-confidential and we may use your feedback in any way for any purpose. You represent that your feedback is truthful and that giving us your feedback does not violate the legal rights of others or applicable law.

  1. TERM AND TERMINATION 

Access to each Site or Platform may not be available from time to time. We might change, replace, suspend or terminate the Site or Platform (in part or in whole and temporarily or permanently) at any time for any reason, without notice or responsibility to you. 

We may suspend or terminate any of the licenses given to you under these Terms at any time, for any reason and without notifying you. These Terms and the licenses granted to you will automatically end if you fail to perform or comply with these Terms. In that case, you must immediately stop using each Site and Platform. 

  1. APPLICABLE LAW 

You agree that your use of each Site and Platform is governed by the laws of Alberta (without reference to conflicts of laws principles). Any claims or disputes arising from these Terms will be submitted to the jurisdiction and courts of Alberta.

  1. GENERAL 

(a) These Terms set out the entire agreement between MindFuel and you relating to your use of each Site and Platform.

(b) Our failure to insist upon or enforce strict performance of any of these Terms will not be considered as a waiver of any right under these Terms. 

(c) These Terms are not assignable, transferable or sub-licensable by you. We may transfer, assign, or delegate these Terms and our rights and obligations without your consent. 

(d) Your obligations under these Terms will survive the termination of these Terms, or of any license granted under these Terms. 

(e) If any part these Terms is unenforceable, a court will put into place a replacement that as nearly as possible reflects the terms of the unenforceable part.
